Clarification: I left Grupo Potesta in 2018
I left Grupo Potesta, S.A. de C.V., on October 10, 2018, and my exit was formalized in 2019. Since October 10, 2018 I have held no shares, position or powers in the company. Nothing the company has done since then has anything to do with me.
I was a founding shareholder of the company in 2016. I sold all my shares: half on July 10, 2017 and the rest on October 10, 2018. The minutes of that meeting were notarized on February 1, 2019 and registered with the Public Registry of Commerce of Puebla on February 12, 2019.
According to press reports, the investigation into alleged fuel tax fraud (“huachicol fiscal”) concerns the years 2021 to 2023, after I had left the company. The articles I have seen describe me as a shareholder without mentioning that I left the company on October 10, 2018.
The facts
They are recorded in public deeds and in the Public Registry of Commerce of Puebla:
- November 7, 2016: Grupo Potesta, S.A. de C.V. is incorporated. I was a founding shareholder, with no management position and no powers of attorney.
- July 10, 2017: I sell half of my shares (instrument 13,503, registered on September 25, 2017).
- October 10, 2018: I sell the rest of my shares at that day’s extraordinary shareholders’ meeting. I have not been a shareholder since that day.
- February 1, 2019: the minutes of that meeting are notarized (instrument 13,852, volume 303, Notary Public No. 28 of Puebla).
- February 12, 2019: they are registered with the Public Registry of Commerce of Puebla, electronic commercial folio N-2016035045.
What I ask
I am not asking anyone to erase the fact that I was a founding shareholder: it is true. I ask that, when I am mentioned, it be stated that I left the company on October 10, 2018 and that my exit was formalized in 2019.
